Terms of Service

These Terms of Service govern your use of OwnOS services and the ownos.ai website. By submitting a lead form, signing a contract, or accessing the OwnOS client portal, you agree to these terms.

1. Service Description

OwnOS provides custom AI-operated business systems for small and medium businesses. This includes custom ERP software, AI-generated Standard Operating Procedures, discovery and onboarding, training materials, deployment, and ongoing AI operations through a monthly subscription.

Services are delivered according to the 8-stage pipeline described in your service agreement. Delivery targets are estimates. OwnOS commits to reasonable effort to meet the 30-day delivery target but does not guarantee a specific delivery date.

2. Intellectual Property

The following remain the exclusive intellectual property of OwnOS at all times:

• All AI agent prompts, system instructions, and AI configurations
• N8N automation workflows and delivery pipeline architecture
• The OwnOS delivery methodology, 8-stage pipeline, and agent architecture
• Industry intelligence reports and SOP template libraries
• The OwnOS platform, branding, and all associated IP

The following belong to you:

• Your business data stored in your dedicated Supabase instance
• Your custom ERP software codebase on your Replit instance
• Your SOPs, training materials, and business documentation delivered through the service
• Any calculators, dashboards, or static tools built as part of your ERP

3. Payment Terms

• Setup fee is due in full upon signing. Delivery begins after payment is confirmed.
• Monthly retainer is billed on the anniversary date of your first payment.
• All prices are in USD unless otherwise stated in your proposal.
• Overdue invoices accrue interest at 2% per month after 30 days.
• OwnOS reserves the right to suspend service after 14 days of non-payment.

4. Cancellation

• Either party may cancel the monthly subscription with 30 days written notice to team@ownos.ai.
• The setup fee is non-refundable once Stage 1 delivery has begun.
• On cancellation, your software and database are returned to you. AI automations cease. See Refund Policy for full details.

5. SOP Auto-Advance Policy

To maintain delivery timelines, SOPs that are not reviewed within the stated deadline window will automatically advance to the next stage. You will receive reminder emails at 48 hours and 24 hours before the deadline. This auto-advance policy is necessary to deliver within the 30-day target.

6. Limitation of Liability

OwnOS's total liability for any claim arising under these terms is limited to the fees paid by you in the three months preceding the claim. OwnOS is not liable for indirect, incidental, or consequential damages including lost profits, data loss, or business interruption.

OwnOS does not warrant that AI-generated content including SOPs, proposals, or business intelligence is complete, accurate, or suitable for any specific regulatory requirement. You are responsible for reviewing all AI-generated content before acting on it.

7. Governing Law and Disputes

These terms are governed by the laws of the Province of Ontario, Canada. Any dispute will first be submitted to mediation. If mediation fails, disputes will be resolved in the courts of Ontario.

8. Changes to These Terms

We will notify active clients by email at least 30 days before any material change to these terms. Continued use of the service after the effective date constitutes acceptance.
